Information about Form GNL-1
What is eForm GNL-1?
eForm GNL-1 filed an application to seek the approval from Registrar of Companies for, the following purposes compounding offenses, an extension of AGM up to 3 months, scheme of the arrangement, amalgamation, and other reasons under the Companies Act, 2013.
- eForm GNL-1 is required to be filed pursuant to rule 12(2) of Registrar of Companies (Registration Offices and Fees) Rules, 2014 the Companies Act, 2013.
According to Rule 12(2) of Registrar of Companies (Registration Offices and Fees) Rules, 2014 the Companies Act, 2013, the documents are required to be submitted, filed, and registered under the Act shall be submitted along with a fee or on or an additional fee as applicable. For the purpose of filing the documents and applications for which the e-form is prescribed under the various rules prescribed under the Act, the document or application shall be filed through Form No. GNL.1 or GNL.2 along with fee as applicable and in case a single form is prescribed for multiple purposes, the fee shall be paid for each of the purposes contained in the single form.
For the purpose of filing information to sub-clause (60) of section 2 of the Act, such information has to be filed in Form No.GNL.3 along with fee as applicable.
Fees of Form GNL 1
- For Amalgamation-other purpose – No fee.
- For the Amalgamation of Government companies and other Purposes, the fee is as follows:
Other than OPC and
OPC and Small
By a company having an authorized share capital of:
a) Up to Rupees 25,00,000
b) Above Rupees 25,00,000 but up to Rupees 50,00,000
c) Above Rupees 50,00,000 but up to Rupees 5,00,00,000
d) Above Rupees 5,00,00,000 but up to Rupees 10 crore or more
e) Above Rupees 10 crore
By a company limited by guarantee but not having a share capital
By a company having a valid license issued under section 8 of the Act (Section 8 Company)
By a foreign company,
The fee applicable in case the purpose of the form is:
- ‘Compounding of offenses; or
- ‘Extension of period of AGM’; or
- A Company without a share capital: Rs. 200 per document.
